For investors in SEB Fund 2 - SEB Nordic Focus Fund
In relation to the notice sent to you on 14 August 2018, as reproduced below with a few minor corrections, we wish to inform you that paragraphs (iv) and (v) of section 2 should be read as follows:
(iv) Orders for issue of and conversion into units of the Merging Sub-Fund will be accepted, if received by the Registrar and Transfer Agent of the Fund before 3.30 p.m. (Luxembourg time) on 14 September 2018 (dealings in the Receiving Sub-Fund will continue as usual).
(v) Orders for redemption of units and conversions out of the Merging Sub-Fund will be accepted, if received by the Registrar and Transfer Agent of the Fund before 3.30 p.m. (Luxembourg time) on 14 September 2018 (dealings in the Receiving Sub-Fund will continue as usual)
Furthermore, the last sentence of the fifth paragraph under section 4.2 should be read as follows: “The exchange ratio may only be calculated five (5) business days after the expiry of the thirty-day (30) period mentioned here below under section 5.2. During this five (5) business day period, i.e. up to 21 September 2018 at 3.30 p.m. CET, all subscription and redemption orders will be suspended in the Merging Sub-Fund only (dealings in the Receiving Sub-Fund will continue as usual).”
For the avoidance of doubt, all subscription and redemption orders will be suspended in SEB Fund 2 - SEB Nordic Focus Fund only for a period of 5 (five) business days between 14 September 2018 at 3.30 pm (CET) and 21 September 2018 at 3.30 pm (CET).
For investors in the SEB Fund 1 - SEB Nordic Fund
In relation to the notice sent to you on 14 August 2018, as reproduced below with two corrections, we wish to inform you that item (iv) of the section related to “Timetable and Date of Merger” is removed , as well as the last sentence, reading “During this five (5) business day period, i.e. up to 21 September 2018 at 3.30 p.m. (CET), all subscription and redemption orders will be suspended”, of the fourth paragraph under the section related to “Impact on the Unitholders”.
For the avoidance of doubt, there will be no suspension of orders in SEB Fund 1 - SEB Nordic Fund.
